New Years Eve in New York - where to eat?

Hi,

Hope someone can offer some advise on where to take my long term girlfriend on New Years Eve. It will be two major occasions on this day (a) it will be her 40th birthday and (b) I am planning to propose to her in New York. Would really love some good advice where I should take her to make the evening really memorable.
